In brief
The UK treaty has distinct fixed-place, construction, service and agency PE routes. Effective MLI anti-fragmentation rules and the original project-profit protocol matter; a day count alone does not settle entitlement, attribution or withholding.
A UK enterprise’s Saudi activities need more than one permanent-establishment test. A project lasting fewer than 183 days is not automatically protected from Saudi tax, and identifying a PE does not make the enterprise’s entire contract revenue Saudi taxable profit. The Saudi-UK Convention, its original protocol and the effective Multilateral Instrument (MLI) provisions must be read together.
This guide focuses on enterprise business activities and profits. Establish treaty residence under Articles 1 and 4 and the relevant domestic tax position first. A UK invoice address, incorporation document or no-PE statement is not a complete entitlement analysis. The UK withholding guide addresses the separate income articles and relief procedure.
Apply the correct treaty and MLI period
HMRC’s joint UK-Saudi synthesised text, published 19 February 2021, sets out the competent authorities’ shared reading of the MLI modifications. It is a reading aid; the authentic Convention, original protocol and MLI remain the legal texts. The current substantive joint text and the relevant official originals were checked for this review.
The general MLI dates in that text differ by tax: withholding events in both states from 1 January 2021; Saudi other taxes for taxable periods beginning on or after 1 November 2020. The original Convention has its separate commencement provisions. A historical project requires the actual period and applicable provisions, rather than today’s text being applied backwards without review.
A fixed place is a separate route
Article 5(1) defines a PE by reference to a fixed place through which an enterprise carries on all or part of its business. Paragraph 2’s non-exhaustive examples include a management place, branch, office, factory, workshop and natural-resource extraction place.
Do not use the construction or service threshold as a universal exemption for an office or another fixed place. Examine the premises, activities, actual use and applicable Article 5 exception. Conversely, a customer location or visiting employee does not become a PE solely because its address appears in a contract; the actual rule and facts still need to be established.
Dariba recommendation: map where decisions, work, stock, staff and customer-facing functions actually sit. Compare the implemented activity with the contract and registration record before concluding that the presence is only representative, temporary or auxiliary.
Construction and connected supervision use more than six months
Article 5(3)(a) addresses a building site, construction, assembly or installation project, and connected supervisory activities, where they continue for more than six months. It does not use a twelve-month construction threshold or substitute 183 days for its months-based wording.
Exactly six months does not cross a strict more-than-six-months test on that fact alone. That observation is not a complete no-PE conclusion: other Article 5 routes, the actual project duration and effective anti-abuse provisions still require review. Retain mobilisation, site activity, interruption and completion evidence; do not assume the final invoice date alone determines project duration.
The UK’s MLI position reserves against the entirety of Article 14 on contract splitting. That MLI provision should therefore not be represented as an automatically matched time-aggregation rule in this treaty. This does not approve artificial splitting: apply the actual treaty, project facts and effective principal-purpose test rather than inventing a mechanical group-contract formula.
Services use an enterprise activity test and a rolling period
Article 5(3)(b) addresses services, including consultancy, furnished through employees or other personnel engaged by the enterprise. Activities of that nature must continue within the country, for the same or a connected project, for periods aggregating more than 183 days in any twelve-month period.
The wording is not a calendar-year test, a separate allowance for each employee or a universal threshold for all Saudi activity. Establish the enterprise’s service activities, project connection, relevant periods and actual presence. Merely changing the personnel does not establish that the same enterprise’s project has restarted with a fresh allowance.
Dariba illustration — original assumptions: one relevant twelve-month period contains 120 qualifying, non-overlapping activity days on a project and 64 on a connected project. The aggregate is 184 days, above 183. This assumes the activities and their connection meet Article 5(3)(b). It does not add overlapping staff-days or prescribe how every travel, interruption or partial day is counted.
At exactly 183 qualifying days, this particular strict threshold is not crossed. A fixed-place or agency PE can nevertheless require separate consideration. An individual professional’s Article 14 position and an employee’s Article 15 position are also distinct from this enterprise service-PE test.
Read each specific-activity exception on its own terms
Article 5(4) identifies particular sole-purpose activities, including storage, display, delivery, processing by another enterprise, purchasing and information collection. It separately addresses other preparatory or auxiliary activity, qualifying combinations and the specified sale after an occasional temporary fair or exhibition.
Do not replace that wording with a universal statement that every warehouse is exempt or that all listed activities have been rewritten identically by the MLI. The joint text adds MLI Article 13(4)‘s anti-fragmentation rule to the actual treaty paragraph. Its application depends on the linked business operations, rather than the label given to a facility.
The exemption can be displaced where the enterprise or a closely related enterprise operates at the same or another place in that state, the stated PE or combined non-auxiliary condition is met, and the activities are complementary functions in a cohesive business operation. Analyse the actual combination; common ownership alone is not all of that test.
MLI Article 15(1) supplies the closely-related definition used here: actual control on all facts, with the specified more-than 50% ownership/voting/value or common-control cases. The ownership limb is not a universal 50%-or-more threshold. Exactly 50% does not satisfy that numeric limb by itself, while actual control can still matter.
Test actual agency authority and independence
Article 5(5) addresses a person acting for the enterprise who has and habitually exercises authority to conclude contracts on its behalf, subject to the stated independent-agent and activity exceptions. Paragraph 6 addresses an independent broker or agent acting in its ordinary business.
The UK reserved against MLI Article 12. Do not substitute that provision’s broader principal-role formulation for the treaty’s actual agency wording merely because Saudi Arabia adopted an MLI option. Review actual authority, approvals, conduct and contractual practice under the applicable test.
Article 5(7) also says control between companies does not, by itself, make either the other’s PE. That does not exclude a PE arising from actual premises, services or agency activities. A separate subsidiary and an enterprise’s own branch need their actual facts analysed.
Attribute the PE’s profit rather than the whole enterprise’s revenue
Article 7(1) permits source-state taxation only of profits attributable to the PE. Paragraph 2 uses the distinct-and-separate-enterprise approach, with actual activities, conditions and independent dealing. Establishing a PE and calculating its profit are separate stages.
The original Protocol, paragraph 3(a), p.30, is especially relevant to survey, supply, construction, assembly or installation contracts. It states that PE profit is not determined from the total contract amount, but from the part actually executed by the PE in the state where it is situated; the part executed outside that state is not taken into account for that attribution.
Dariba analysis: keep a supported split of the actual contract work, functions and execution locations. The protocol is not permission to relabel local work as offshore, exempt every overseas receipt or treat a revenue allocation as the final taxable profit. Identify the specified contract category and substantiate the work performed before applying its attribution direction.
Protocol 3(b) also clarifies enterprise business profits and distinguishes personal services supplied by an individual. Do not use the enterprise article as a single rule for every professional, employee or other separately classified receipt.
Apply the treaty’s actual expense limitations
Article 7(3) permits qualifying PE-purpose expenditure, including executive and general administration expenses incurred locally or elsewhere. Its subsequent wording restricts the specified internal royalty, fee, commission/service/management and non-bank financing amounts, apart from reimbursement of actual expenses. It also addresses the corresponding internal amounts charged by the PE to other parts of the enterprise.
Both sides of the paragraph matter. The first sentence is not blanket approval of all estimated head-office allocations; the restrictions should not become a blanket rejection of every actual third-party cost. The head-office deduction guide explains the separate domestic and evidence questions.
Article 7(4) excludes attribution merely because the PE purchases goods for the enterprise. Paragraph 5 preserves the other treaty articles for separately classified income and capital gains; paragraph 6 retains the specified insurance-law treatment and consultation condition. A PE analysis must therefore identify the actual income as well as the enterprise presence.
Connect the conclusion to compliance and the evidence
The matched MLI principal-purpose test replaces the original Article 28 anti-abuse text on its applicable terms. Formal treaty residence or a short contract is not a complete answer where obtaining the benefit is one of an arrangement’s principal purposes and the object-and-purpose exception has not been established.
Retain residence evidence, contracts, work locations, activity-day records, connected-project analysis, agency authority, facility functions, the PE profit bridge and the relevant cost evidence. ZATCA’s January 2025 Implementation of Withholding Tax under the Double Taxation Agreement circular addresses the separate classification and relief process; this guide does not present its generic illustrations as official UK PE examples.
A treaty PE conclusion does not independently settle VAT establishment, withholding administration, registration, filing or every deduction. Use the domestic PE guide and the treaty-relief procedure for those connected questions. A supported conclusion should identify the actual PE route, period, attributable profit and unresolved point, rather than rely on a day count alone.
