In brief

Test full direct and indirect ownership, same-partner cases, separate information returns, exit approval and financing treatment under Article 16.

Consolidated Zakat filing is a specific Article 16 route for qualifying ownership structures. Accounting control or a common brand does not by itself satisfy it. Establish the fully-owned perimeter, continuing subsidiary obligations and any special financing treatment before replacing separate returns with a consolidated calculation.

Establish the Article 16 route before relying on accounting consolidation

Current amended Arabic Zakat Implementing Regulations Article 16(1), p. 13, permits the stated consolidated accounts/return for companies wholly owned by the same partners and a holding company with wholly-owned direct or indirect subsidiaries inside or outside the Kingdom.

ZATCA’s Zakat General Guideline, first version October 2024, section 4.10, pp. 124–131, explains the permitted cases. An accounting consolidation based on control is not the same as the Article 16 full-ownership condition.

Dariba recommends drawing the actual legal chain before selecting the return perimeter. This is an operating recommendation, not a new statutory threshold or a claim that the entity can ignore the required ZATCA procedures.

Identify direct full ownership and the separate 99% case

Article 16(2) addresses direct ownership through subsidiaries fully owned by the holding company. Official Example 57, p. 126: A owns 100% of B and C; on the example’s stated Saudi registration/filing facts, consolidated filing is permitted.

Official Example 58, p. 127: the guide distinguishes the fully-owned domestic/foreign subsidiaries from other interests, including a 99% holding. Being close to 100%, economically controlling the subsidiary or rounding a share percentage is insufficient to establish the stated full-ownership route.

An external minority holder can therefore affect the perimeter even when group accounting continues to consolidate. Keep statutory registers, share classes and relevant rights available rather than relying on a simplified presentation chart.

Trace indirect ownership without double counting

Article 16(2) permits the stated combination where the balance is held through other fully-owned subsidiaries. Official Example 59, pp. 128–129: the diagram and conclusion include H, N and W in S’s eligible perimeter, while K, with an outside investor, is excluded.

The diagram shows S directly owning 50% of N and the other 50% through wholly-owned H; W combines S’s direct 1% and 99% through H. K combines 50% and 40% through group entities with 10% outside the group. One sentence in the English explanation reverses company letters; the diagram, stated interests and conclusion should be read together rather than copying that sentence as a new ownership fact.

Dariba recommends reconciling the effective chain with no repeated counting of the same interest. Two partly-owned routes do not automatically add to full ownership if the intermediary itself has an outside shareholder.

Test companies wholly owned by the same partners

Article 16(1) also provides the stated same-partners route. General Guideline Examples 60–61, pp. 129–131, distinguish companies fully held by the same owner/partners, including the stated indirect interests, from a company with only partial ownership.

Example 60 includes Mohammed’s wholly-owned A and the stated direct/indirect full ownership of C, while the 70%-owned B is outside that illustrated perimeter. Example 61 illustrates the specified shared-partner structure.

Do not infer that any two companies with one common investor or similar management qualify. Where actual partner proportions, chains or rights differ from the available guidance, document the issue and confirm the applicable route instead of extending the example without support.

Keep non-qualifying entities on their applicable separate route

Article 16(3), Arabic text, pp. 13–14, requires separate calculation and returns for the relevant holding company/subsidiaries outside the full-ownership route, regardless of the holding percentage, while preserving the referenced debt and investment treatments.

A subsidiary outside the consolidated perimeter is not automatically outside Zakat collection, and its investment is not automatically deductible without the applicable investment conditions. Likewise, an intercompany debt does not cease to exist for every legal or tax purpose merely because related accounts are consolidated.

The scope guide addresses the actual person/interests. Establish additions and deductions under their own provisions rather than using consolidation as a blanket exemption.

Preserve subsidiary information returns and approval before leaving

Article 16(5), Arabic text, p. 14, requires the stated separate subsidiary information return where it is included in its wholly-owning holding company’s consolidated Zakat return. Consolidated filing therefore does not mean the subsidiary has no continuing reporting obligations.

Article 16(4) requires ZATCA approval before a payer already using the consolidated route reverses that procedure. A management decision to deconsolidate the next spreadsheet is not itself the regulatory approval.

Dariba recommends reconciling the approved perimeter, included entities, information returns and any requested exit before filing. Do not invent an automatic exit date, retroactive amendment right or universally waived subsidiary report.

Apply the stated financing-activity consequence

Article 16(6), Arabic text, p. 14, addresses a financing-activity payer owned by a non-financing payer that files a consolidated return. In that specified case, the financing payer is not accounted for under the referenced financing subsection of chapter 2.

This is a consequence of the actual ownership and consolidated-return facts. It is not a general election for every bank, fund or finance company to discard its special rules, nor proof that an unrelated regulated entity may enter any group’s perimeter.

Identify the actual licence, activity, owners and filing route, then model the applicable treatment. A decision should compare supported calculations; this article does not promise that consolidation always reduces the group’s Zakat.

Keep the legal ownership chart, share registers, indirect calculations, entity/residence/activity details, consolidated accounts, Zakat adjustments, subsidiary information returns and relevant ZATCA correspondence/approval. Preserve dates of ownership or filing-method changes.

Consolidated Zakat filing does not itself establish VAT-group membership, eliminate withholding on actual non-resident payments or settle foreign-country obligations. Each instrument has its own tests.

Dariba recommends reviewing the perimeter before acquisitions, disposals or restructuring. The advisory question is which entities and obligations the actual Article 16 facts support, rather than whether the accounting system can produce one combined profit figure.

Key takeaways

  1. Accounting control alone does not establish Article 16 eligibility.
  2. Full direct and qualifying indirect ownership determine the relevant perimeter.
  3. The stated same-partners route requires actual complete ownership.
  4. Non-qualifying entities retain their applicable separate calculation and filing.
  5. Included subsidiaries have information-return duties; leaving the route requires approval.
  6. The financing consequence applies only to its stated ownership and filing facts.
