In brief

Financial classification remains supply-specific. Marketplace deeming, input entitlement, financed-goods payment exceptions and group changes require separate conditions; neither a licence nor an amendment guarantees exemption or recovery.

The VAT changes relevant to financial businesses need to be applied to actual products, inputs and legal roles. A bank licence, fintech label or new platform feature does not determine every VAT classification. Current Article 29, the marketplace provisions, payment adjustments and group conditions should be analysed together without treating each amendment as a new blanket exemption or liability.

Start with the actual financial supply

Article 29 distinguishes specified financial services and remuneration. Explicit fees, commissions and commercial discounts, implicit financing margins, securities and qualifying life contracts do not all follow one rule. Shariah-compliant products require their actual comparison and asset-transfer provisions applied.

ZATCA’s Financial Services guideline, second edition May 2026, section 4.1, Example 5, p. 16, separates Al Madinah Bank’s exempt mortgage interest from its annual SAR 220 administrative fee. At the stated standard-rated treatment, SAR 33 VAT on that net fee differs from taxing the entire loan principal or exempting every receipt of the bank.

The financial-services exemption guide and margin-based product analysis explain the relevant provisions. The amendments should not be used to imply that Article 29 was replaced by an institution-wide financial exemption.

Review digital intermediation without taxing every financial product

Article 47(2) concerns services facilitated electronically for non-resident suppliers; paragraph (3) concerns goods/services facilitated for resident unregistered suppliers. Paragraph (4) defines the marketplace and limited roles. The latter expansion applies to relevant customer contracts from 1 January 2026; it is no longer a future transition window.

The official Deemed Suppliers guideline section 11, p. 74, explains that the non-resident electronic-services framework predates 2025. It should not be described as wholly new liability for every digitally facilitated foreign service. The two paragraphs also have different exception wording: the additional independent/direct customer contract limb appears in paragraph (3).

Dariba analysis: a lending portal, investment app or insurance aggregator needs its actual supply and platform role identified. Deeming a platform to purchase/resell does not itself turn an otherwise exempt financial supply into a standard-rated one. Separate advisory, access or processing fees may need different treatment. Review place, supplier/customer status and Article 29 before calculating tax.

Separate the deemed purchase, resale and actual fees

The guideline section 8.2, pp. 46–54, distinguishes the platform’s deemed purchase/resale from included facilitation margin and genuinely separate services. Do not tax only the margin where the actual customer resale value is the relevant base, or separately tax the same included commission again.

Section 6.2, p. 23, also distinguishes resident and non-resident platforms. A Saudi taxable customer can still have reverse-charge obligations on a qualifying non-resident platform supply. A platform’s status does not guarantee equal input recovery or remove the customer’s need to verify an incorrectly charged tax amount.

Use the marketplace legal guide and operating analysis for the official examples and reconciliation. Finance-sector branding is not an exception to those transaction-specific requirements.

Apply input restrictions and attribution before a recovery target

Articles 49–51 require actual entitlement, evidence, restricted-cost review and attribution. Shared inputs are different from costs wholly for taxable or ordinary exempt supplies. Wording about expenditure purpose does not establish that all employee-related or operational expenditure is deductible.

The bank’s taxable-income fraction should not simply be multiplied by every cost invoice. The financial-sector recovery guide explains the source-backed classification steps and qualified examples.

For an alternative method under Article 51(8)–(9), the proposal must better reflect actual use, and approval is by notification for a period no longer than five years, renewable through a new application. The actual decision may allow a shorter term and impose scope/conditions. Article 51(10) separately permits an Authority direction. A more favourable percentage is not proof of accuracy or permission to start using it.

Understand whose unpaid-input adjustment is affected

Article 40(10) concerns a recipient that deducted input VAT and has not fully paid after the prescribed twelve-month period starting from the month after supply. It is not simply a rule cancelling a lender’s exempt interest income or reversing every bank’s performing loan portfolio.

The exception concerns specified goods received under financing contracts, including finance lease, murabaha and lease-to-own arrangements, from an appropriately licensed provider with periodic instalments. It requires the contract to remain in force, no relevant judicial dispute, the supplier to have declared the full output VAT in the relevant return and the customer to hold the supplier’s written confirmation.

Dariba analysis: identify the customer claiming the relevant input deduction and the actual financed goods before applying the exception. A financing label or timely instalment alone is insufficient. Paragraph (11) addresses a later permitted increase following payment after a prior adjustment; the actual paid amount, period and limitations remain relevant.

Distinguish buyer adjustments from supplier bad-debt relief

Article 40(7)‘s supplier bad-debt mechanism has its own conditions, including the relevant prior output declaration/payment, non-related customer, elapsed period, write-off evidence and other applicable requirements. It is separate from the recipient’s unpaid-input adjustment under paragraph (10).

Do not assume one party’s accounting write-off automatically establishes the other party’s input treatment, or that a customer payment dispute alone satisfies every condition. Retain contracts, ageing, payments, declarations, certificates and any required legal/write-off evidence.

The input recovery overview connects deduction and subsequent adjustments. Cash accounting, later payments and genuine value changes must also be distinguished rather than forced into one twelve-month rule.

Reassess group eligibility and actual recovery

Articles 10–12 require continuing residence, registration entitlement, legal ownership/control and the relevant exclusions. The historical 180-day regularisation window for existing groups is not a fresh 2026 grace period. A prior group approval does not establish continuing eligibility after an ownership or licensing change.

Intra-group supplies under Article 18(2) differ from the group’s external inputs and outputs. A captive service company’s VAT-bearing recharge may disappear while recovery of its external costs changes within the combined business. Grouping is not automatically beneficial.

See the financial-group analysis for a rounded, assumption-based comparison and the registration guide for procedures and source boundaries. No extra principal-purpose condition should be inserted into current Article 12(7)‘s actual wording.

Turn the review into defensible operating decisions

Maintain a product classification matrix, platform-role analysis, direct/shared input pools, actual method approval, financed-goods payment/certificate file and current group eligibility map. These are Dariba operating recommendations, not a requirement to use a particular proprietary checklist.

For each proposed change, identify the provision, factual trigger, affected period and documentary support. Separate an original error, a genuine later event, a method change and a refund request. That produces usable financial-sector advice without promising that every amendment increases recovery or reduces compliance work.

Key takeaways

  1. Article 29 financial classification depends on the actual supply and remuneration, not an institution-wide label.
  2. Article 47 has distinct marketplace limbs and exceptions; non-resident electronic rules predate 2025.
  3. Deemed purchase, customer resale, included margin and independent fees require separate analysis.
  4. Input entitlement and direct/shared attribution precede a proposed recovery percentage.
  5. Article 40(10) financing exception concerns qualifying received goods and the actual customer input deduction, with documentary conditions.
  6. Historical group transition periods do not replace continuing eligibility or guarantee grouping benefits.
